Website and Social App Terms of Service

These Terms of Service are an agreement between you and Phai Labs Inc., operating as Compounded. By accessing the Compounded website or authorizing the Compounded Social App, you agree to these terms and our Privacy Policy.

Customer subscriptions to the full Compounded platform may also be governed by an order form, customer agreement, or in-product user agreement. If those terms conflict with these terms for a subscribed service, the customer-specific agreement controls for that service.

You must be legally able to enter into these terms and authorized to act for the organization, Facebook Page, or Instagram professional account you connect. You are responsible for the accuracy of the information you provide and for maintaining the security of your Compounded account.

The Social App uses permissions that you grant through Facebook or Instagram to connect an account and carry out requested actions. You may disconnect a channel in Compounded Marketing Settings or revoke authorization through Facebook or Instagram. Removing a required permission may make the related feature unavailable.

Your use of Facebook and Instagram remains subject to the applicable Meta terms, policies, and technical limitations. Compounded does not control those third-party services.

You retain your rights in captions, images, logos, links, instructions, and other content you submit or authorize us to access. You grant Phai Labs Inc. a limited, non-exclusive licence to host, process, adapt for formatting, transmit, and publish that content only as needed to provide the requested Compounded features.

You are responsible for reviewing content before publication and for confirming that you have the rights and permissions needed to use it. Scheduled publishing may be affected by expired permissions, third-party outages, account restrictions, or changes to provider APIs.

You must not use Compounded to:

• violate any law, regulation, professional obligation, or third-party right;
• publish deceptive, fraudulent, infringing, harassing, or unlawful content;
• upload malware or attempt unauthorized access to any account, system, or data;
• circumvent access controls, rate limits, approval steps, or platform safeguards;
• misrepresent your identity, authority, affiliation, products, or services;
• use the service in a way that interferes with its operation or another user.

Compounded can assist with drafting and publishing, including AI-assisted suggestions, but it does not provide medical, pharmaceutical, legal, or regulatory advice. The pharmacy or other publishing organization is responsible for professional review, advertising compliance, claims, required disclosures, permissions, and final approval of published content.

Phai Labs Inc. and its licensors own the Compounded service, software, branding, templates, and related intellectual property, excluding your content. These terms grant only the limited right to use the service as described here and do not transfer ownership of the service.

Our Privacy Policy explains what information we collect, how we use and share it, and how to request access, correction, or deletion. By authorizing a connected account, you direct us to process the information required to provide the selected integration.

We may update, improve, restrict, or discontinue features. We aim to provide a reliable service, but do not guarantee uninterrupted or error-free availability. We may suspend access when reasonably necessary to address security, legal, payment, misuse, or platform-integrity concerns.

To the maximum extent permitted by law, the public website and Social App are provided “as is” and “as available,” without warranties of uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement. Phai Labs Inc. is not responsible for third-party platforms, content rejected or removed by them, or actions taken through an account by an authorized user.

To the maximum extent permitted by law, Phai Labs Inc. will not be liable under these terms for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Nothing in these terms excludes liability that cannot legally be excluded. Customer-specific agreements may contain additional warranties, remedies, or liability terms.

You may stop using the Social App at any time by disconnecting the channel and revoking provider authorization. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations, and dispute provisions, will survive.

These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Ontario will have jurisdiction, except where applicable law requires otherwise.

We may update these terms by posting a revised version and effective date. If a change is material, we will provide additional notice where required. Questions can be sent to support@compounded.ca.
